TERMS AND CONDITIONS OF SALE

These terms and conditions of sale (“Terms of Sale”) apply to the exclusive and transferable right to receive and display a unique personalised plate design (‘Plate/s’) on a personalised registration plate for a motor vehicle in New Zealand. This incorporates the right to the selected combination of letters and/or numbers, or alternatively to convert existing registration plates to personalised plates bearing the same combination of letters and/or numbers as the existing plates.

By placing an order for a Plate via kiwiplates.nz or 0800 650 111 you agree to these Terms of Sale and become legally bound by these Terms of Sale. Please do not proceed to purchase until you have read, understood and accepted these Terms of Sale. If you have any queries, please contact us and we will be pleased to assist.

You acknowledge and accept that KiwiPlates do not manufacture personalised registration plates and the Government approved manufacturer makes all registration plates for New Zealand.

  1. Purchase

    Orders processed through kiwiplates.nz or 0800 650 111 are final. You are responsible for all information supplied including entitlement details. We make no representations and give no guarantees about approval or availability of any Plates.

    Notwithstanding anything contained in these Terms of Sale or elsewhere on the KiwiPlates website, KiwiPlates makes no representation or commitment to supply with respect to any chosen Plate until such time as the order has been correctly submitted to KiwiPlates, payment finalised, and the order finally approved by KiwiPlates. The final approval of orders is subject to various considerations including without limitation whether the Plate complies with these Terms of Sale and the availability of the Plate and is in the absolute discretion of KiwiPlates.

    You must ensure that no part of your Plate infringes any intellectual property rights of any person which may include without limitation rights of patent, design, trade mark or copyright. You acknowledge that you are solely responsible for carrying out any required trade mark or other searches to ensure that you are not infringing any third party intellectual property rights.

  2. Price

    Prices are quoted in New Zealand dollars and include GST, manufacturing (within 90 days of payment completion), freight (distribution) and statutory fee/registration charges. Price does not include any other fees, taxes, duties and charges that may be imposed. KiwiPlates reserves the right to change the price of Plates from time to time without notice.

    Payments for orders submitted may only be made by use of an accepted credit card. Use of a credit card must be done so by, or with permission of, the credit card holder.

  3. Approval and Rejection of plate orders

    KiwiPlates and the New Zealand Transport Agency (Registrar) have absolute discretion in the approval of personalised plate designs and have the right to reject any order or Plate any time after the Plate design has been ordered, for any reason in its discretion. Rejected Plates will attract a cancellation fee of $100.

    KiwiPlates complies with strict guidelines from the Registrar. KiwiPlates may reject a Plate if it considers in its absolute discretion that the Plate is or contains material that is objectionable, including without limitation the Plate is considered to be, or have the potential to be:

    1. obscene, indecent sexually explicit, sexually inappropriate, scandalous, violent, abusive, or insulting;
    2. promoting or condoning behaviour that is harmful, unsafe, dangerous or contrary to prevailing community standards of health and safety;
    3. inciting hatred or vilification;
    4. discriminatory against, inciting hatred of or offensive towards a person or section of the community including on account of their culture, race, ethnicity, nationality, gender, age, sexual preference, religion, disability, mental illness or political belief or minority status;
    5. unlawful, defamatory or otherwise in breach of privacy, intellectual property or other rights;
    6. Plates that contain a sequence of similar numbers and letters designed to confuse, or which cannot be easily identified. This includes arrangements of letters and numbers that can be inverted to make an entirely new combination.

    If more than one order for the same identical Plate is fully approved for any reason, KiwiPlates shall proceed with the order that was submitted first in time and any other orders for that Plate shall be cancelled.

  4. Use of Combinations and messages

    By submitting a combination, or message for use on a message plate, you represent and warrant:

    1. You have the legal right to reproduce and distribute this Content and to grant the permissions herein. By providing KiwiPlates with a copy of the Content you give KiwiPlates and the plate manufacturer permission to reproduce, use and store this Content for the purposes of production, manufacture and supply of a personalised plate.
    2. The Content supplied does not infringe any third party’s rights including intellectual property rights.
    3. In respect of any Content relating to or owned by a company or business including a name (“Business Content”), you are the owner/director of the company or business, or you have obtained express consent from the company or business to use the Company Content on the plate.

    At any time KiwiPlates may request proof of ownership or express consent from the owner.

  5. Refunds

    The provisions of these Terms of Sale are in addition to the statutory rights to which you may be entitled under the Consumer Guarantees Act 1993 (NZ) (CG Act) and any other applicable consumer protection laws or regulations. These Terms of Sale are subject always to your rights under these laws. Please note that there may be limitations in these Terms of Sale on our liability, or on your right to return and obtain a refund for goods and services, as set out herein, however these limits will always be subject to your statutory rights.

    Except where required under the CG Act or other applicable consumer protection laws or regulations, KiwiPlates will not issue a refund if: (a) you cancel your order; or (b) you fail to make a Request to Manufacture within the required time.

    In cases where an order is cancelled for any reason, any refund will be provided in the same manner in which the initial payment has been received. This can take up to 14 days, depending on the payment method.

  6. Manufacturing

    Once a Plate order has been correctly submitted to KiwiPlates, payment finalised, and the order approved by KiwiPlates, we will forward a Certificate of Entitlement, receipt and ‘Request To Manufacture’ details.

    You must make a Request to Manufacture to the Government approved Manufacturer, within 90 days of receiving the Certificate of Entitlement and receipt. This Request to Manufacture can be made by post, email, fax or phone. Failure to do so will result in a manufacturing fee being charged by the Manufacturer. To the full extent permitted by law, KiwiPlates is not responsible in any way for, or for any matter arising in connection with, the manufacture or delivery of your Plate.

  7. Ownership of Plates

    The Registrar has the right to recall plates and require the surrender of plates if:

    1. the plate bearing your Plate design is not lawfully affixed to a vehicle or has been modified in any way; or
    2. the Registrar receives a complaint about your Plate design and considers your Plate design likely to be offensive to any person; or
    3. the Registrar is otherwise entitled to by law.

    As a condition of acquiring a Plate, you hereby grant KiwiPlates and the Registrar a non-exclusive, royalty-free, perpetual, worldwide and irrevocable licence to use, reproduce, modify, adapt, publish and display such Plate in advertising, marketing and publicity material for KiwiPlates in any media, without compensation, restriction on use, attribution or liability.

  8. Exclusion of Liability.

    Nothing in these Terms of Sale limits your rights as a consumer under the CG Act, the Fair Trading Act 1986 (NZ) (FT Act) or any other applicable consumer protection laws or regulations, to the extent that these rights are applicable to you. To the full extent permitted by law, and except where law prohibits their exclusion, KiwiPlates excludes all representations, warranties, conditions or guarantees including those implied by statute, at law, by trade, custom or otherwise. You will not do or omit to do anything which gives rise to any liability on your part or on the part of KiwiPlates under the CG Act, the FT Act or any other law. You will not make any representation or give any guarantee, warranty or other undertaking in relation to the Plate design or Plate unless such representation, guarantee, warranty or undertaking is supplied by us expressly and in writing.

    To the full extent permitted by law and subject to any laws that cannot be limited, KiwiPlates, the Registrar, and their officers, employees, agents, contractors, related persons, companies or entities, will not be liable or responsible to you or any third person for any loss or damage that may result (including without limitation, any direct, indirect, punitive or consequential loss or damages, or any loss of income, profits, goodwill, data or contracts or economic loss, or penalties, damages, costs or expenses or other loss or damage), and whether in tort (including without limitation negligence), contract or otherwise) in connection with or arising out of the production or manufacture of your Plate or any breach of any third party’s intellectual property rights in connection with your Plate design or your Plate. Without limiting the foregoing or these Terms of Sale in any way, and to the full extent permitted by law, KiwiPlates is not responsible for:

    1. any loss or costs you incur if your Plate design is recalled by the Registrar; or
    2. any physical aspect of any Plate or any matter arising in connection with the manufacture of any Plate including (without limitation) any minor colour, design or spacing variations between any visual representation of the Plate design produced by KiwiPlates, and what is produced by the Manufacturer, the font used for all Plates as prescribed by the Registrar, defects in manufacturing, or any aspect of delivery.
  9. Indemnity.

    You hereby agree to indemnify KiwiPlates, the Registrar and their employees, officers, agents, contractors, related persons, companies or entities from and against any loss, costs, claims, damages, expenses (including legal costs and expenses on a solicitor/client basis), liabilities, proceedings or demands whether direct or indirect, incurred or suffered by any of them which arise in relation to:

    1. a breach of these Terms of Sale, or
    2. any wilful, negligent or unlawful act or omission,

    by you or by any person for whom you are responsible.

WARRANTY INFORMATION

Personalised plates – Gold and Silver

Plates are manufactured by the approved plate manufacturer, Licensys.

Licensys guarantee against faulty material and workmanship for a period of five (5) years on all personalised plates containing gold or silver metallic colours. This warranty does not cover:

  • Physical damage or deterioration of general appearance due to other than normal exposure.
  • Normal fading of colours over time provided that the fading does not cause the plate to become less than clearly legible.

Should any replacement become necessary, plates will be evaluated on an individual basis and the right is reserved in accordance with appropriate testing before accepting responsibility of the warranty.

Please note, gold and silver metallic colours on screen ,may vary from the physical plate when manufactured.

Personalised plates – All other colours

Plates are manufactured by the approved plate manufacturer, Licensys.

Licensys guarantee against faulty material and workmanship for a period of ten (10) years, on all personalised plates (with the exception of gold and silver).

This warranty does not cover:

  • Physical damage or deterioration of general appearance due to other than normal exposure

We want you to create memories, have fun and enjoying designing plates that matter, but we ask you to consider and respect these terms of use (“Terms”).

Please read these Terms carefully before using the KiwiPlates website known as www.kiwiplates.nz (“Site”), as by using the Site you will be deemed to have agreed to them. Please note that these Terms may be amended without notice at any time, and it is your responsibility to monitor amended Terms so you should refer to them regularly. All changes to these Terms are effective from the date of posting the revised Terms on this Site and the updated version will immediately supersede any prior version. Please read this in conjunction with our Privacy Policy which forms part of these Terms. The Site is owned and operated by Secondo Investments Limited NZBN: 9429039844545 trading as KiwiPlates (“KiwiPlates”, “we”, “us”, “our”).

Content

While we have used our best endeavours to ensure that the information contained on and accessed through the Site is correct and current at the time of publication, we make no representation as to the accuracy, completeness or reliability of the information and do not accept responsibility for any error, omission or defect in the information. Material on the Site is for general information purposes only and is not to be taken as legal or any other advice. We recommend that you seek professional advice where necessary before acting on any information on the Site.

All information, text, material, images, graphics, logos, brands, trade marks, services marks, designs, software and advertisements on this Site are protected by New Zealand and international intellectual property laws. KiwiPlates owns and retains all intellectual property and commercial proprietary rights in the Site and, except as expressly stated otherwise, any content on the Site. You may copy such content for personal use but you must not otherwise use, copy, reproduce, distribute, publish, exploit, or modify any part of the Site without our express written permission. You must not remove any copyright or other proprietary notices from content on the Site. All rights are expressly reserved by KiwiPlates.

This Site (and the products and services described in it) is only intended for people in New Zealand, and any prices stated are in New Zealand dollars.

Your Conduct

You agree that you will not use the Site for any purpose that is unlawful and will comply with all relevant laws and regulations. You also agree that you will not use the Site for any purpose that is prohibited by these Terms. You agree that you will not use the Site to:

  1. send spam or other unsolicited messages,
  2. advertise or offer to sell or buy any goods or services,
  3. collect information about others without their consent,
  4. transmit or upload any material that contains viruses or any other harmful programs,
  5. use data mining, robots, screen scraping or similar data gathering and extraction tools,
  6. breach any laws including intellectual property or privacy rights,
  7. defame, abuse, threaten, harass, or stalk others or publish or distribute any material that is indecent, defamatory, obscene, discriminatory, offensive, inappropriate or unlawful, or
  8. interfere with or disrupt the Site or networks connected to the Site,
  9. interfere with another person’s use or enjoyment of the Site; or
  10. attempt to gain unauthorised access to any services, or other accounts, computer systems or networks connected to the Site.

Communications

You acknowledge that any communications, comments, stories or images you send to us (via the Site, email or otherwise) are provided on a non-commercial basis. You agree that we may reproduce, publish, or otherwise use such communications (or edited versions of such communications) along with your name, image in any way, in any media for any purpose, without remuneration, subject to relevant privacy laws and our Privacy Policy.

Liability

To the full extent permitted by law, we are not liable (in contract, tort or otherwise including for negligence) for any loss or damage (whether direct, indirect or consequential) incurred as a result of access to or use of the Site. To the full extent permitted by law and save as expressly set out herein, we expressly disclaim all warranties and conditions of any kind whether express or implied. If we are liable for any breach of any implied warranty or condition that cannot be excluded by law, then our liability shall be limited to, at our option to re-supplying the services, or paying for the costs of re-supplying the services. For the sake of clarity, the foregoing sentence does not apply to any implied warranty or condition for a personalised plate as these are covered by the manufacturer of the personalised plates.

We assume no responsibility for any technical malfunction, error, omission, interruption, deletion, delay in operation or transmission, communications line failure, virus, bug, tampering, theft or destruction or unauthorised access to or alteration of this Site, or any injury or damage to any person's computer related to participation or down-loading of any material from this Site.

Indemnity

You indemnify us, our related companies, affiliates, licensors and licensees, and our respective directors, officers, employees and agents, from and against all actions, suits, claims, demands, liabilities, costs, expenses, loss and damage (including legal fees on a full indemnity basis) incurred or suffered, or likely to be incurred or suffered, by you as a direct or indirect consequence of using this Site.

Modifying the Services

We may modify, suspend or discontinue the services available on the Site, or delete, modify or supplement the contents of the Site, at any time without notice. We may also terminate your ability to access services on this Site at any time without notice. In this event, the liability and indemnity provisions provided in these Terms will survive such termination, and all rights of KiwiPlates granted herein are reserved.

Applicable law

The Site and these Terms are to be governed by and interpreted in accordance with the laws of New Zealand. You irrevocably and unconditionally agree to submit to the exclusive jurisdiction of the courts of New Zealand. To the fullest extent permitted by law, we accept no responsibility and make no representation as to the compliance of this Site or the information contained in it with the laws of any country other than New Zealand.

Severability

If any provision of the Terms is found to be invalid or unenforceable by a court of law, such invalidity or unenforceability will not affect the remainder of the Terms that will continue to have full force and effect.

Links

The Site may contain links to third party websites. We accept no liability for these linked sites as they are not under our control. We provide any such links to you solely as a convenience and the inclusion of any link does not imply any endorsement of the linked website or its contents. You access third party sites and use their products and services entirely at your own risk.

In some instances, an advertisement from a third party advertiser will contain claims or offers that you can accept by proceeding to the advertiser's web site and completing the relevant transaction. These offers are not made by us, and the third party advertiser is solely responsible to you for the delivery of any goods or services you may purchase on any third party website.

What Terms and Conditions or Agreement do I need to accept?

You acknowledge and accept that KiwiPlates do not manufacture personalised registration plates and the Government approved manufacturer makes all registration plates for New Zealand.

The Layby Agreement

Parties to the Layby Agreement

The Layby agreement is between Multi Market Services New Zealand Limited trading as 'KiwiPlates' of Unit 16, 125 The Strand, Parnell, Auckland 1010 [ 0800 650 111 ("KiwiPlates", "us") and you.

By placing an order for a Plate via kiwiplates.nz or 0800 650 111 you agree to the terms of this LayBy Agreement and become legally bound by this LayBy Agreement. Only Fixed, Flexi, and Triple personalised plates can be purchased using the KiwiPlates LayBy facility. Government Issued plates and redesigns are not eligible for LayBy and need to be paid for in full. Please do not proceed to purchase until you have read, understood and accepted this LayBy Agreement. If you have any queries, please contact us and we will be pleased to assist.

  1. Cancellation

    You can cancel this LayBy Agreement at any time, prior to the final payment. Once final payment is made this LayBy Agreement cannot be cancelled.

    KiwiPlates can also terminate the LayBy Agreement for breach of a material term of the LayBy Agreement (cl 6 or cl 7).

    If your LayBy is cancelled by the means set out above, a $100 cancellation charge will apply which enable us to recover our costs. The charge is deducted from monies paid towards the LayBy. The balance of monies received will be refunded, less the total of the credit card surcharge, either to the customer’s credit card or a direct bank deposit. If the monies paid by you do not cover the cancellation charge, we can recover the balance from you. 

    In cases where an order is cancelled for any reason, any refund will be provided in the same manner in which the initial payment has been received. This can take up to 14 days, depending on the payment method.

    The cancellation charge of $100 is a genuine pre-estimate of the reasonable costs to process a terminated LayBy Agreement and incorporates system transaction costs, business administration costs, merchant charges and cancellation processing costs.

    In addition to the above, KiwiPlates may also exercise its other rights to terminate this LayBy Agreement as permitted under applicable law (for example if owing to circumstances beyond its control the goods are no longer available and no satisfactory substitute is available), but will not charge a cancellation fee in this case.

  2. Description

    Once your LayBy has been initiated and a deposit has been received by KiwiPlates, this LayBy Agreement covers you with respect to your chosen personalised number plates.

    Prices are quoted in New Zealand dollars and include GST, manufacturing (within 90 days of payment completion), freight (distribution) and statutory fee/registration charges.

    Notwithstanding to anything contained in this LayBy Agreement or elsewhere on the KiwiPlates website, KiwiPlates makes no representation or commitment to supply with respect to any chosen personalised plate combination until such time as the order has been correctly submitted to KiwiPlates, payment finalised, and the order approved by KiwiPlates and New Zealand Transport Authority.

    KiwiPlates and the New Zealand Transport Agency have guidelines to follow when approving certain plate combinations and anything considered unsociable, confusing or offensive won’t be allowed. KiwiPlates reserves the right to reject submitted plate orders deemed unacceptable.

    If more than one order for the same identical Plate is fully approved for any reason, we shall proceed with the order that was submitted first in time and any other orders for that Plate shall be cancelled.

  3. General Terms

    This LayBy Agreement applies to the exclusive and transferable right to receive and display a unique personalised plate design ('Plate/s') on a personalised registration plate for a motor vehicle in New Zealand. This incorporates the right to the selected combination of letters and/or numbers, or alternatively to convert existing registration plates to personalised plates bearing the same combination of letters and/or numbers as the existing plates.

    You acknowledge and accept that KiwiPlates do not manufacture personalised registration plates and the Government approved manufacturer makes all registration plates for New Zealand. You are responsible for all information supplied including entitlement details. We make no representations and give no guarantees about approval or availability of any Plates.

  4. Payment start date

    The commencement date of this LayBy agreement is the date a deposit is received by KiwiPlates ("Commencement Date"). The completion date for completing the LayBy is no later than four (4) months from the Commencement Date.

  5. Deposit, Timing and Methods of Payment

    A minimum deposit of 25% of the total cost is required. Thereafter, a minimum of one payment must be made every 28 days from the commencement date detailed above. You may decide to pay more frequently if you wish.

    • Option 1. Acceptable payments are credit card (Visa, MasterCard or Amex) online or over the phone. KiwiPlates apply a non-refundable 1.9% (incl. GST) surcharge to payments using a card, which is in line with our cost of acceptance.
    • Option 2. The Account2Account solution from Payment Express NZ, via Payment Express NZ lets you make a payment without using a credit card and attracting a surcharge. When you pay with A2A, you use the security of your online banking to make a payment to KiwiPlates. A2A is available to customers of ANZ, ASB, BNZ, KiwiBank, TSB and Westpac registered for online banking. Not available from business bank accounts.

    You will be prompted to make payments by a reminder every 28 days from the commencement date. You can make a payment by clicking on the payment reminder link and paying online, visiting by kiwiplates.nz/layby , by calling KiwiPlates on 0800 650 111 or visiting KiwiPlates during business hours.

    Additional payments can be made by visiting kiwiplates.nz/layby and following the prompts, by calling KiwiPlates on 0800 650 111 or visiting KiwiPlates during business hours.

  6. Missed Payments

    If you miss a payment, we will email you a reminder. If you miss two consecutive payments, the LayBy Agreement may be terminated at the discretion of KiwiPlates. Any bank fees or charges incurred by dishonoured payments will be charged to you and form part of the cancellation charge where the LayBy Agreement is cancelled. If this should occur and the LayBy Agreement is terminated, the conditions outlined in cl 1 apply.

  7. Failure to Complete

    In the event you fail to complete all payments by the Completion Date, the LayBy Agreement may be cancelled at the discretion of KiwiPlates. If this should occur and the LayBy Agreement is cancelled, the conditions outlined in cl 1 apply.

    If for any reason we hold funds to which you are entitled and are unable to contact you using reasonable efforts, then we will comply with the Unclaimed Money Act 1971 (NZ) in paying such funds to the Crown or applying those funds to our benefit, in accordance with this legislation.

  8. Changing your Order

    You can change your order anytime up until the final payment is received. If you wish to change your order, call KiwiPlates on 0800 650 111 or visit KiwiPlates during business hours. Please note, this may result in a new LayBy agreement being issued.

  9. Exclusion of Liability

    Once a Layby has been completed, payment finalised, and the order approved by KiwiPlates, the general Terms of Sale will apply.

  10. General Condition

    It is a condition of this Layby Agreement that the right to a personalised plate cannot be sold to any third party, until such time as the layby is finalised and the right to the plate resides with you. Any breach of this provision will result in termination of the Layby Agreement by KiwiPlates, and the conditions outlined in cl 1 will apply. In the case of a breach of this provision, KiwiPlates is under no obligation to sell the plate or transfer the right to the plate to the third party

    Nothing in this LayBy Agreement limits your rights as a consumer under the Consumer Guarantees Act 1993 (NZ) (CG Act), the Fair Trading Act 1986 (NZ) (FT Act) or any other applicable consumer protection laws or regulations, to the extent that these rights are applicable to you. To the full extent permitted by law, and except where law prohibits their exclusion, KiwiPlates excludes all representations, warranties, conditions or guarantees including those implied by statute, at law, by trade, custom or otherwise. You will not do or omit to do anything which gives rise to any liability on your part or on the part of KiwiPlates under the CG Act, the FT Act or any other law. You will not make any representation or give any guarantee, warranty or other undertaking in relation to the Plate design or Plate unless such representation, guarantee, warranty or undertaking is supplied by us expressly and in writing.

    To the full extent permitted by law and subject to any laws that cannot be limited, KiwiPlates, the Registrar, and their officers, employees, agents, contractors, related persons, companies or entities, will not be liable or responsible to you or any third person for any loss or damage that may result (including without limitation, any direct, indirect, punitive or consequential loss or damages, or any loss of income, profits, goodwill, data or contracts or economic loss, or penalties, damages, costs or expenses or other loss or damage), and whether in tort (including without limitation negligence), contract or otherwise) in connection with or arising out of the production or manufacture of your Plate or any breach of any third party’s intellectual property rights in connection with your Plate design or your Plate. Without limiting the foregoing or this LayBy Agreement in any way, and to the full extent permitted by law, KiwiPlates is not responsible for:

    1. any loss or costs you incur if your Plate design is recalled by the Registrar; or
    2. any physical aspect of any Plate or any matter arising in connection with the manufacture of any Plate including (without limitation) any minor colour, design or spacing variations between any visual representation of the Plate design produced by KiwiPlates, and what is produced by the Manufacturer, the font used for all Plates as prescribed by the Registrar, defects in manufacturing, or any aspect of delivery.
